Do you write “144 opinions” and help investors “free up” their stock?

Yes, work with companies and investors to determine if there is an applicable exemption from registration so that they may freely sell their shares in public market. We do a comprehensive due diligence review of the transaction and the company to determine which if any exemption is available. Other firms promise to turn around the opinion letters in a single day. We do not. The review can take several days. The more information you can provide, the more quickly we can move through the process. Do you work with non-US companies and clients?

We represent both US and foreign companies that are trading on US exchanges and those that are looking to do mergers and acquisitions with companies located or traded in the US.

Do you charge for an initial consultation?

No, we want to discuss your matter with you first to see if we are the right fit. You shouldn’t have to pay for that.

Do you write opinion letters for OTC Markets Current Status or to lift “Caveat Emptor” (Skull and Crossbones) designations?

Yes, we have been working with OTC Markets and companies trading on OTC Markets for many years. We do many current status letters each year and have successfully removed the Caveat Emptor designation for several companies.
